1. Acceptance of Terms

By accessing or using MagicDocs ("the Service"), operated by MagicDocs ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

MagicDocs is an AI-powered document management platform that processes user-submitted content (via email, SMS, voice, or manual input) and uses artificial intelligence to generate and maintain living project documents. AI-generated updates require user approval before publication unless auto-approve is explicitly enabled by the account holder.

3. Accounts and Subscriptions

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. Each subscription tier includes specific limits on documents, monthly updates, and AI processing capacity. Usage beyond your tier's limits will result in updates being queued or rejected until the next billing cycle or an upgrade.

Enterprise accounts may include multiple team member seats. The account holder is responsible for all activity under their account and any team member seats they provision.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with normal, expected usage patterns. You agree NOT to:

  • Submit content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Attempt to overwhelm the Service with automated requests, scripts, or bots beyond normal use
  • Use the Service to store or transmit malware, viruses, or malicious code
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Share account credentials or allow unauthorized users to access your account
  • Use the Service to compete with MagicDocs or to build a competing product
  • Circumvent or attempt to circumvent usage limits, rate limits, or access controls
  • Submit content designed to manipulate, exploit, or extract the AI system's instructions or behavior

5. Normal Use and Fair Usage

"Normal use" means using the Service for its intended purpose: maintaining living project documents through legitimate business communications. Each subscription tier includes monthly limits on updates and AI processing tokens. These limits define your fair usage allocation.

We reserve the right to throttle, suspend, or restrict access to accounts that exhibit usage patterns significantly outside normal use, including but not limited to: automated bulk submissions, using the Service as a general-purpose AI chat interface, or submitting content unrelated to document maintenance.

6. Account Suspension and Termination

We may suspend or terminate your account, without prior notice, if we reasonably determine that:

  • You have violated these Terms of Service
  • Your usage constitutes abuse of the Service or its AI processing resources
  • Your account poses a security risk to the Service or other users
  • You have failed to pay applicable subscription fees
  • Your use of the Service is fraudulent or illegal

Upon termination, your right to use the Service ceases immediately. We will make reasonable efforts to allow you to export your document data within 30 days of termination, unless the termination is due to illegal activity.

7. AI Processing and Data

Content you submit to the Service is processed by third-party AI providers to generate document updates. We strip personally identifiable information (PII) from content before sending it to AI providers where technically feasible. However, you should not submit highly sensitive information (social security numbers, financial account numbers, medical records) through the Service without understanding that it will be processed by automated systems.

AI-generated content may contain inaccuracies. You are responsible for reviewing and approving all AI-generated updates before they are applied to your documents.

8. Intellectual Property

You retain ownership of all content you submit to the Service. You grant us a limited license to process, store, and display your content as necessary to provide the Service. We do not use your content to train AI models. The Service itself, including its design, code, and branding, is our intellectual property.

9. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability to you shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
